Terms of Service

1. Agreement

These Terms of Service (“Terms”) govern your access to and use of TEED, the TechnoEthos web application and related services for organizational ethics and compliance assessments, evidence intake, scoring, reporting, and optional publication of summaries (collectively, the “Service”). By accessing or using the Service, you agree to these Terms. If you use TEED on behalf of an organization, you represent that you have authority to bind that organization.

2. The Service

TEED helps teams structure product and governance information, attach evidence, run evaluations through configured backends, and optionally generate supplementary narrative output. Features depend on how the Service is deployed (for example database-backed workspaces, AT Protocol sign-in, evaluation API URLs, and optional enrichment). We may modify, suspend, or discontinue features with reasonable notice where practicable.

3. Accounts and sign-in

You may sign in using AT Protocol OAuth or other methods your deployment enables. You are responsible for safeguarding credentials and for activity under your account. You must provide accurate information and keep organization roles and invitations accurate. We may suspend access that compromises security or violates these Terms.

4. Your content and licenses

You retain ownership of content you submit (for example intake answers, notes, evidence metadata, and structured extractions produced from your documents in the product flow). You grant TechnoEthos and the Service’s subprocessors a non-exclusive license to host, process, transmit, and display that content solely to operate TEED — including sending it to evaluation or enrichment endpoints you or we configure, storing it in the application database, and showing it to members of your workspace with appropriate permissions.

You represent that you have the rights to submit your content and that doing so does not violate third-party rights or agreements.

5. Public AT Protocol publication

If you use features that publish records to the AT Protocol network (for example public score or registry entries), you understand that such data may be publicly readable according to ATProto norms and the configuration of the relevant repos. You are responsible for what you choose to publish. We are not responsible for third-party indexing or redistribution of public protocol data.

6. Scores, outputs, and disclaimer

Scores, findings, narratives, and similar outputs are generated from the information you provide and from configured rules or models. They are provided for informational and decision-support purposes only. They are not legal advice, regulatory approval, certification, or a guarantee of compliance. You remain solely responsible for your products, policies, and obligations to regulators, customers, and users.

7. Acceptable use

You agree not to:

  • Violate law or infringe others’ rights
  • Upload malware, attempt unauthorized access, or probe or stress systems without permission
  • Reverse engineer the Service except where applicable law forbids this restriction
  • Misrepresent identity, manipulate scores dishonestly, or abuse invites and memberships
  • Use the Service to build a competing offering by scraping or systematically extracting our UX or data in breach of these Terms

8. Intellectual property

TechnoEthos and its licensors own the Service, including software, branding, and documentation, subject to open-source licenses where noted. These Terms do not grant you ownership of our IP. You receive a limited, non-exclusive, non-transferable right to use the Service during your access in line with these Terms.

9. Privacy

Our collection and use of personal information is described in the Privacy Policy, which is incorporated by reference.

10. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL TECHNOETHOS OR ITS SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS. OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US$100) IF NO FEES APPLIED. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN THOSE CASES OUR LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.

12. Indemnity

You will defend and indemnify TechnoEthos and its affiliates, officers, and employees against claims, damages, and costs (including reasonable attorneys’ fees) arising from your content, your misuse of the Service, or your violation of these Terms or law, except to the extent caused by our willful misconduct.

13. Termination

You may stop using the Service at any time. We may suspend or terminate access for breach, risk, or legal reasons. Provisions that by their nature should survive (for example disclaimers, liability limits, indemnity) will survive termination.

14. Changes to these Terms

We may update these Terms from time to time. We will post the updated Terms here and revise the “Last updated” date. If a change is material, we will provide additional notice where appropriate (for example by email or in-product notice). Continued use after the effective date constitutes acceptance of the updated Terms, except where applicable law requires explicit consent.

15. General

These Terms are governed by the laws of the United States, without regard to conflict-of-law principles, except where mandatory consumer protections in your jurisdiction require otherwise. The United Nations Convention on Contracts for the International Sale of Goods does not apply. If any provision is unenforceable, the remainder stays in effect. Our failure to enforce a provision is not a waiver.
